European Companies(Evropská Společnost-SE)
The European Company (E.S.) is a legal form of corporation established by European Regulation No. 2157 of 2001.
A director and an auditor are required to establish this type of company, as well as a minimum amount of 120,000 euros (CZK 2854950.00 at today’s exchange rate). Our companies adopt a dual type of governance regime involving three organs of power:
- The General Assembly that has the power to appoint the Supervisory Council, that appoints or revokes the management board.
- The Supervisory Body: which controls the executive bodys activities, excluding any direct management power of the company. The members are appointed by the assembly, appoint the management board and controls management of the management body.
- The Management Body: runs the European company under its own responsibility
Importantly, S.E. partners can be either private persons or legal entities, and since this is a capital company, in case of default they are not liable with their personal assets.
The shares are registered but “bearer” (they do not have to be deposited), and the members, if not founders, may not be visible.
